AMT TERMS AND CONDITIONS

STANDARD TERMS & CONDITIONS 1.0 General
1.1 There shall be no binding contract between seller and buyer until the buyer’s order has been accepted by the seller.
These conditions shall apply to the exclusion of all other terms, including any standard terms of the buyer, except as agreed in writing by the seller. Acceptance of the goods shall be deemed to indicate the buyer’s agreement to these conditions.
2.0 Price
Unless otherwise agreed, the price of the goods will be that ruling in the Seller’s price list at the time of going to press. However, due to fluctuations beyond the Seller’s control, the Seller shall be entitled to amend its price list from time to time without notice. It is advisable to confirm costs prior to ordering.
3.0 Transfer of Property
3.1 The goods shall remain in the company until the Company has received payment in full of the price and any additional sums due under contract. 3.2 The Buyer shall store the goods in such a way that they can be identified as the Company’s property. If the Buyer shall sell or otherwise dispose of or shall make any insurance claim in respect of the goods prior to making payment in full for them. The Buyer shall do as principal and not as agent for the Company and shall not give any warranties or incur any liability on behalf of the Company. The proceeds of any such sale or other disposition (or claim thereto) as well as the proceeds of any insurance claim made by the Buyer in respect of the goods shall belong to the Company to the extent of all sums due to the Company in respect of the goods.
3.3 Failure by the Buyer to make all payments when due shall give the Company the right without prejudice to any other remedy of the Company, to repossess the goods without prior notice and to enter any premises for the purpose of such a repossession. Nothing in this condition shall give the Buyer any rights to return goods sold hereunder. The Company may see the Buyer for the price when due notwithstanding the property in the goods may not have passed to the Buyer.
4.0 Guarantee & Limitation of Liability
4.1 The Seller guarantees the goods will be free from defects caused by faulty materials or poor workmanship upon delivery. Under this guarantee the Seller will at its option either repair, replace or give credit to the Buyer for any goods found to be defective, providing that:
a) The Seller is informed of the alleged defect, in writing, within 7 days of receipt of the goods;
b) The defective goods are returned to the Seller, with carriage prepaid by the Buyer;
c) Examination of the goods by the Seller reveals to its satisfaction that such defect exists and has not been caused by misuse, neglect, accident, improper storage or handling, or by repair or alteration not effected by the Seller;
d) Non-delivery by any carrier must be notified by the Buyer within 7 days of the invoice date.
4.2 Goods are only returnable with the Seller’s expressed agreement. Save as expressly set out above, the Company’s responsibility shall be limited to the supply of goods and/or services as contracted and excludes all responsibility for any loss or damage however caused consequential upon or resulting from the supply of such goods and/or services. 5.0 Payment
5.1 30 Day credit accounts are available although the first transaction is on a pro-forma basis only.
5.2 Prices quoted are Net and exclude VAT.
Unless otherwise agreed payment is to be made within 30 Days of the date of the invoice. All overdue accounts are liable to a 10% monthly charge. 5.3 In the event that any customer order is cancelled, then AMT reserves the right to invoice any costs Incurred as a result of the cancellation. 5.4 Goods remain the property of AMT until paid for.
6.0 Delivery
Every effort will be made to deliver on time, but any delivery day specified is the best estimate and no liability is accepted for any loss arising from delay or error in the delivery of the goods. All deliveries will be charged at the prevailing rates applying at the date of such delivery. Special rush deliveries can usually be arranged but will usually be subject to additional charges (e.g. rush print charges and rush delivery charges), which will be charged to you at current commercial rates. When the goods are with the contracted carriers they are subject to their terms and conditions. 7.0 Passing of Title & Risk
The risk in the goods shall pass to you on delivery.
8.0 Products
Whilst all products are current at the time of going to press, no responsibility can be accepted for the withdrawal of any item or for any alteration to the specification being made by the manufacturer. The accuracy of colour reproduction in this catalogue cannot be guaranteed. 9.0 Company Logos
Where a company name or logo appears on any item in the brochure, this does not necessarily mean AMT have supplied it or that the company named has endorsed those items. These have merely been shown to illustrate the print process. We therefore apologise for any inconvenience. 10.0 Printing
Prices are for unprinted goods.
11.0 Overs/Unders
All items are subject to a 3% over or under-run.
12.0 Samples
All samples are chargeable unless returned in good condition within a specified time.
13.0 Cancellation Charges
A charge will be made on cancelled orders, together with the charge for all work carried out up to the date of written cancellation.
14.0 Order Confirmation
All orders are followed up by a detailed Order Confirmation, which must be carefully approved or amended, signed and faxed back. Failure to return this promptly may result in delays. We cannot accept liability for your approval of incorrect information or artwork.
15.0 Force Majeure
Without prejudice to any other of these conditions, the Seller shall be under no liability for delay or non-performance of any obligations hereunder due to any circumstances whatsoever beyond the control of the Seller
16.0 Law
This contract shall be governed by and construed in accordance with English law and the courts of England shall have jurisdiction to hear all disputes arising in connection with it.
